Terms of Service
These Terms govern use of PackKUB, a Software as a Service platform for Merchants and organizations.
Please read them together with the Privacy Policy, Data Processing Agreement and Cancellation & Refund Policy.
1. Acceptance
These Terms form an agreement between VRPA Company Limited, the provider of PackKUB (“PackKUB”, “we”, “us”), and the person or organization that registers for, uses or pays for the service (“User”, “Merchant”). By creating an account, accessing or using PackKUB, you agree to these Terms, the Privacy Policy, Cancellation & Refund Policy and referenced documents.
If you act for an organization, you represent that you are authorized to bind that organization.
2. Service scope
PackKUB is software for online-commerce operations and ERP workflows, including marketplace integrations, product and SKU management, orders, inventory, packing/fulfillment, returns, finance, accounting and other features made available under the selected plan.
Some features depend on third-party providers, APIs or marketplace permissions and may change when those providers change their requirements.
3. Accounts, users and security
- Provide accurate and current account and organization information.
- Protect passwords, API tokens, keys and authentication methods.
- Assign internal user permissions appropriately and revoke access when no longer required.
- Notify PackKUB promptly if credentials or accounts may have been compromised.
- Remain responsible for activity performed through your accounts except to the extent caused by PackKUB.
4. Acceptable use
- Use the service lawfully and only within your authorized scope.
- Do not access another tenant, internal system or data without authorization.
- Do not disrupt, probe, bypass security controls or impose abnormal load without authorization.
- Do not use PackKUB for fraud, infringement, spam or unlawful processing of personal data.
- Do not resell, reverse engineer or create a competing service from proprietary PackKUB components except where law or written agreement permits.
5. Merchant Data
The Merchant owns or has the necessary rights to data it submits or creates and is responsible for accuracy, lawful collection, required notices and legal bases.
The Merchant instructs PackKUB to process that data as necessary to provide the service. Where PackKUB processes customer or buyer personal data for the Merchant, the Data Processing Agreement applies.
6. Marketplaces and third-party services
When you connect Shopee, Lazada, TikTok Shop, LINE or another service, you direct PackKUB to exchange data with that service within the permissions you grant. You are responsible for maintaining the external account and complying with that provider’s terms.
PackKUB does not control third-party API availability, policies, fees, app approvals, rate limits or changes and may need to modify related functionality when external systems change.
7. Fees, plans and credits
Fees are based on the selected subscription, add-ons, credits and prices presented or quoted before purchase. Applicable taxes and legally required charges may be added.
Cancellation, refunds, non-renewal and PackKUB Credits are governed by the Cancellation & Refund Policy published on the website.
8. Service and price changes
PackKUB may improve, add, retire or modify features for security, performance, legal compliance or compatibility with third-party systems. We will use reasonable efforts to communicate materially adverse changes.
Price changes for a future billing period will generally be notified in advance, except for taxes, pass-through third-party charges or additional services expressly ordered by the User.
9. Availability, maintenance and support
We aim to provide a reliable service, but maintenance, incidents, emergencies, internet failures and third-party marketplace outages may affect availability.
PackKUB may temporarily restrict functionality when reasonably necessary to protect security or stability.
10. Intellectual property
PackKUB software, branding, designs, documentation and proprietary components belong to PackKUB or its licensors. You receive a limited, non-exclusive, non-transferable right to use the service for the purchased plan and term.
11. Confidentiality
Each party will use reasonable care to protect the other party’s confidential information and use it only to perform the agreement, unless disclosure is authorized or required by law.
12. Suspension and termination
PackKUB may suspend access for overdue fees, material breach, security risk, unlawful use or when necessary to prevent harm. Where appropriate, we will attempt to notify the Merchant and provide an opportunity to remedy the issue.
Upon termination, the right to use the service ends. Export, retention and deletion of data are handled under the DPA, Privacy Policy and applicable legal obligations.
13. Warranty limitations
PackKUB provides the service with reasonable care and availability. To the extent permitted by law, we do not warrant that third-party marketplaces, APIs or external services will remain available or unchanged.
Users should verify material business information such as pricing, inventory, tax documents and settlement data before relying on it for filings or significant decisions.
14. Liability
Each party remains responsible as required by applicable law and its contractual obligations. To the extent permitted by law, PackKUB is not responsible for losses caused by User misconfiguration, inaccurate source data, third-party systems or events outside reasonable control.
Nothing in these Terms excludes or limits rights or liabilities that cannot lawfully be excluded or limited.
15. Governing law
These Terms are governed by the laws of Thailand unless mandatory law provides otherwise. If a dispute arises, the parties should first attempt good-faith resolution before pursuing available legal remedies.
